These credits can be "syndicated" or sold to investors for upfront cash, significantly reducing the developer's out-of-pocket expenses and creating immediate equity in the asset.
The OBBBA of 2025 made Opportunity Zones a permanent fixture of U.S. tax policy, transforming them from a temporary experiment into a long-term wealth-building tool. For developers in Joliet, this means they can defer taxes on original capital gains by investing in a Qualified Opportunity Fund and, most importantly, pay zero capital gains tax on any appreciation of the new project if held for at least 10 years. The act also introduced a 30-year cap on these benefits and established stricter requirements for reporting community impacts, such as job creation and housing units.
Capturing equity is a strategic move where a developer uses tax incentives—like TIF reimbursements and historic tax credits—to pay for a large portion of construction, leaving them with very little of their own cash tied up in the project. Once the building is completed and appraised at its new, higher value, the developer takes out a new commercial mortgage (refinance). This allows them to pay off original loans and pull out their initial investment plus extra profit tax-free, which can then be reinvested into the next project in the district while they maintain ownership of the original building.
